User Agreement

The following represents the current user agreement for users of Motorider web site. This agreement may be updated periodically.

In this User Agreement ("Agreement"), "MR", "We" and "Us" mean MotoRider or Motorider. "You" means the person or entity registered to receive service through Motorider's web site.

1. ACCEPTANCE. We may revise this Agreement from time to time. You should periodically check the Agreement on the Motorider web site http://www.motorider.info for the most current version of this Agreement. Each time You use the Motorider web site will constitute renewed confirmation that You agree to the terms and conditions contained in the Agreement and Your acceptance of all changes We make to the Agreement.
2. REGISTRATION. You must be at least eighteen (18) years of age to register for the Motorider web site and You must use Your own name when registering. By registering You agree to promptly defend, indemnify and hold Motorider and its officers, employees and agents harmless from all claims, damages, losses, liabilities and expenses arising out of or in any way connected with use of the Motorider web site by You or others who use Your password and account.
3. CHARGES. You are responsible for keeping all billing data which You have provided to Us accurate and up to date. We may terminate Your account if You provide Us with false, inaccurate or obsolete data. If You fail to pay any charges when due, if a charge against Your credit card is rejected or reversed or if Your check is returned or otherwise not honored by Your bank, We may terminate Your account without notice to You. We may bill You an additional charge to reactivate Your account. If You have signed up for service and terminate your account during the first month, Motorider will retain one standard months charges and refund to You the remainder of Your payment. There are no other refunds. Your credit card will be charged on the day you signup, then every month thereafter on the same day. If you choose annual billing and pay by credit card, your credit card will be charged on the same day next year. Monthly and annual charges are billed automatically until you cancel your service.
4. PASSWORDS. You will receive a userid and password when You register for Motorider web site. Only one person using Your password may be logged on to the Motorider web site at any time. Motorider may terminate the session and/or Your account in the event more than one person using Your password logs on to the Motorider web site at one time. You are responsible for maintaining the confidentiality of the password for Your account. You acknowledge that:
1. You are responsible for all activities that occur under Your password or account
2. Motorider is not and will not be liable for all loss or damage arising from any failure to maintain the confidentiality of Your password.
5. CONDUCT. You agree that You will not, sell or resell Motorider Web Services to any other person, business or other entity. You also agree You will not, and you will not permit others to, use Your Motorider Web Service account to directly or indirectly:
1. transmit or receive any Data that is unlawful, harmful, threatening, defamatory, pornographic (or which promotes pornography) or vulgar or that invades the privacy of others or that is otherwise objectionable
2. transmit or receive any Data that contains a virus, Trojan horse, cancelbot, time bomb, worm or any other harmful or undesirable code or program
3. attempt to gain unauthorized access to any computer system or network by any means
4. interfere with any other person's use and enjoyment of the Internet
5. attempt to intercept or view private communications not intended for You
6. violate any applicable laws or regulations
7. transmit unsolicited commercial email ("UCE") or unsolicited bulk email ("UBE") messages; or
8. for commercial use of Motorider web space.

Motorider shall have the right to immediately terminate Your account if Motorider believes, in its sole discretion, You, or others using Your account, are transmitting or otherwise participating, directly or indirectly, in any SPAM or other unsolicited bulk email activity. In addition, You agree to pay Motorider damages of US $200.00 for SPAM or unsolicited bulk email transmitted from Your Motorider account.

6. YOUR EQUIPMENT AND TELEPHONE LINES. In order to access and use the Motorider Web Site, You must provide, at Your expense, all input/output devices, such as modems, computers and software, and communication services, such as long distance and local telephone services, which are necessary to obtain and maintain a connection to Motorider's servers and equipment. 7. SUPPORT. If You experience problems with Your Motorider Web Service You may email Motorider. You may contact Motorider via email at twenty-four hours a day, seven days per week.
8. DISCLAIMER OF WARRANTIES. EXCEPT WHERE PROHIBITED BY LAW, MOTORIDER MAKES NO EXPRESS OR IMPLIED WARRANTIES (INCLUDING WARRANTIES OF TITLE, NONINFRINGEMENT, AND IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE) AND DOES NOT WARRANT THAT THE WEB SERVICE PROVIDED BY MOTORIDER WILL BE SECURE, UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED. THE SERVICE IS PROVIDED ON AN "AS IS" BASIS. SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES THEREFORE, SOME OF THE LIMITATIONS CONTAINED IN SECTION 8 MAY NOT APPLY TO YOU.
9. LIMITATION OF LIABILITY. YOU AGREE THAT MOTORIDER SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES RESULTING FROM:
1. THE USE OR THE INABILITY TO USE THE MOTORIDER WEB SERVICE
2. UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
3. ANY OTHER MATTER RELATING TO THE MOTORIDER WEB SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS OF SECTION 9 MAY NOT APPLY TO YOU.
10. MANDATORY BINDING ARBITRATION: EVERY CLAIM, CONTROVERSY, OR DISPUTE OF ANY KIND WHATSOEVER (EACH AN "ACTION") BETWEEN YOU AND MOTORIDER (INCLUDING ANY OF MOTORIDER'S EMPLOYEES AND AGENTS) RELATING TO OR ARISING OUT OF OFFERING OR PROVISION OF WEB SERVICE, OR RESULTING FROM THE EXERCISE OF ANY RIGHTS CONTAINED HEREIN, SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, REGARDLESS OF WHETHER THE ACTION SOUNDS IN TORT, CONTRACT, STATUTE OR ANY OTHER LEGAL OR EQUITABLE THEORY. TO ARBITRATE AN ACTION AGAINST MOTORIDER, YOU MUST INITIATE THE ARBITRATION IN ACCORDANCE WITH THE APPLICABLE RULES OF ARBITRATION OF THE AMERICAN ARBITRATION ASSOCIATION (WHICH ARE AVAILABLE ONLINE AT www.adr.org AND PROVIDE WRITTEN NOTICE TO MOTORIDER BY EMAIL AT .
11. TERMINATION. You may cancel Your account at any time if You notify us in advance. You agree that:
1. Motorider, in its sole discretion, may terminate Your password and account at any time, with or without notice to You
2. when Your account is terminated or canceled, either by You or by Us, without regard to the reason for the termination, Motorider may remove and discard any Data that You have stored on Motorider servers, hard drives or other equipment or hardware.
3. Motorider shall not be liable to You or any third party for any termination or cancellation of Your account or for removing or discarding Data. If You have not breached any term of this Agreement and We cancel Your account, we will refund to You a prorated portion of any charges You have paid for service after the cancellation date.
